  MEMBERSHIP TERMS & CONDITIONS:
 
AGREEMENT made between Trilegiant Corporation (“Trilegiant”), a Delaware corporation with offices at 6 High Ridge Park, Stamford, CT 06905, providing a service called Buyers Advantage ("BA"), and the person specified on the accompanying Buyers Advantage membership card. Trilegiant, its subsidiaries, affiliates, officers, and employees shall be collectively referred to herein as "Trilegiant," and this Web site, www.buyersadvantage.com, the Buyers Advantage program, the Benefits (as defined below), together with any and all other services or products offered to You through your membership materials that arrived via mail or on or through this Web site, shall be referred to collectively as either "Product" or "Service."

WITNESSETH:

1. SERVICE — (a) The service that Trilegiant shall provide to you during the term of the membership shall include: i) New Purchase Price Protection; ii) Automatic Five-Year Warranty Protection; iii) Return Guarantee Protection; and iv) Repair Cost Protection. Specific details of limitations and exclusions are provided in the accompanying materials. Any or all of these benefits are or may be provided by one or more independent third-party service provider(s).

(b) BA reimbursement requests are considered based solely upon written materials received from You. To be eligible for benefits for New Purchase Price Protection, Automatic Five-Year Warranty Protection, and Return Guarantee Protection, membership in BA must be active at the time of purchase and when the event giving rise to such benefit occurs. All invoices, receipts, and other documentation must be in writing and are subject to verification. Purchase date is the earlier of the delivery date or the first billing date. Purchases must have been made by the BA member.

(c) Trilegiant reserves the right to change the terms and conditions of this Agreement at any time without notice. Trilegiant may cancel this Agreement upon written notice and refund of the current term’s membership fee.

2. WHO MAY USE — You agree that You will use BA only on behalf of Yourself, Your spouse, and Your dependent children under the age of 18 residing in Your household. You will be responsible for all use of Your membership number and must notify Trilegiant immediately of any unauthorized use of Your membership number or theft or misplacement of the membership number. One membership per household. Benefits may not be used for business and commercial purposes.

3. LIABILITY — Trilegiant shall have no liability to You as a seller of any products or vendor services, including, without limitation, any liability for any defective products. TRILEGIANT MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD OR INFORMATION DELIVERED OR PROVIDED TO YOU, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND TRILEGIANT SHALL, UNDER NO CIRCUMSTANCES, BE LIABLE FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. TRILEGIANT'S LIABILITY TO YOU SHALL IN NO EVENT EXCEED THE AMOUNT OF THE BA MEMBERSHIP FEE. THE PROVISIONS OF THIS SECTION 3 SHALL NOT LIMIT THE AMOUNT OF ANY BENEFIT AMOUNTS YOU ARE ENTITLED TO UNDER THIS SERVICE AS EXPRESSLY SET FORTH IN YOUR SERVICE MATERIALS, SUBJECT TO THE TERMS AND CONDITIONS THEREIN. The terms of this section shall survive any termination or expiration of this Agreement.

4. GOVERNING LAW; ARBITRATION — This Agreement, and the respective rights and obligations of the parties hereunder, shall be governed by, and construed in accordance with, the laws of the State of Connecticut. If there is a dispute between you and Trilegiant, either of us may elect to have it resolved by proceeding in small claims court or by final and binding arbitration administered by the National Arbitration Forum, or the American Arbitration Association, under their rules for consumer arbitrations. All disputes in arbitration will be handled just between the named parties, and not on any representative or class basis. YOU ACKNOWLEDGE THAT THIS MEANS THAT YOU MAY NOT HAVE ACCESS TO A COURT OR JURY. The terms of this Section shall survive any termination, cancellation or expiration of this Agreement.

5. MEMBERSHIP FEE — For your convenience, at the end of your 30-day trial period, your membership fee will be automatically billed to the credit or debit (or to the related checking account) account you designated when you enrolled in Buyers Advantage, unless you call to cancel during your trial. Your membership fee will be billed in accordance with the billing terms furnished to you upon enrollment in Buyers Advantage.

6. RENEWALS — Unless you notify Buyers Advantage that you do not wish to renew your membership, Buyers Advantage will automatically renew your membership at the end of each term and bill the renewal fee to your designated billing source. You will be notified of any price increase and may cancel your membership if you do not want to continue to be billed at the new price.

7. RIGHT TO CANCEL MEMBERSHIP — You have the right to cancel the Agreement at any time. You may cancel this Agreement by calling 1-800-553-4948, by writing to: : Buyers Advantage, P.O. Box 6175, Westerville, OH 43086-6175, email service@buyersadvantage.com or click the cancel link on the Contact Us page.

Cancel this agreement during your 30-day trial and you will owe nothing more; at any time thereafter you will not be billed for any additional fees. Please refer to your membership kit for additional information. You will remain liable for any other fees, purchases, or charges to be paid pursuant to this Agreement.

Neither Buyers Advantage nor any of its affiliates is the provider of the repair rebate and extended warranty benefits of this service. Offer is not valid in Maine.

8. ELECTRONIC COMMUNICATIONS — Trilegiant, at its option, may communicate with You regarding Buyers Advantage service by mail, by telephone or by electronic communications. Trilegiant may communicate with You electronically by means of electronic mail to the e-mail address You provide when You sign up for Buyers Advantage service and/or postings to the Buyers Advantage service website. Trilegiant may communicate electronically to You the following types of communications: Membership Terms and Conditions (including any amendments thereto), notices or disclosures regarding Buyers Advantage service, payment and billing authorizations, and other matters relating to your use of the Buyers Advantage service. You may contact Trilegiant at the telephone number and address listed above to request another electronic copy of an electronic communication without a fee. You may also request a paper copy of the terms of the payment authorization without a fee. You may contact Trilegiant at the same telephone number or e-mail address listed above to update your contact information or to withdraw your consent to receive electronic communications. Trilegiant reserves the right to terminate your use of the Buyers Advantage service if You decline or withdraw your consent to receive electronic communications from Trilegiant. You will need the following software and hardware to access electronic communications sent to You by Trilegiant as part of your Buyers Advantage membership: IBM or MAC compatible computer, Internet access, a working e-mail address, and Internet Browser (Internet Explorer version 5.2 or a later version). To retain copies of electronic communications, You must print a copy using a printer attached to your computer, or save an electronic copy to your computer's disk or other storage device.

New Purchase Price Protection

Coverage Description:

The Buyers Advantage New Purchase Price Protection program helps you get the best Price you can find on many purchases you make with cash, check, debit or credit card (herein referred to as the "Product"). If within 90 days of the date you purchased the Product, you see the same Product (same model number and year, by the same manufacturer) advertised at the Store or Non-Auction Internet site where originally purchased for a lower Price, Buyers Advantage will refund you the difference, up to $500 per item (up to a maximum of $1,000 per Member per twelve-month period). Advertisements must be published within 90 days after the date you purchase your Product and while you are a member of Buyers Advantage to qualify for New Purchase Price Protection coverage.

Important Definitions:

  • Member, You, or Your – The Buyers Advantage member listed in the membership kit accompanying this document.
  • Non-Auction Internet Advertisements – Advertisements posted on the Internet, by a non-Auction Internet merchant with a valid tax identification number. The advertisement must have been posted within ninety (90) days after the date You purchased the Product, be from the same Internet site where the Product was originally purchased, and must be for the identical item (same make, same model number, same model year). The printed version of the Internet advertisement must include the merchant's Internet address and customer service telephone number, as well as the item including model number, sale price, and date of publication.
  • Auction – An Internet site where items are sold through price bids, price quotes, or where prices fluctuate based on the number of people purchasing, or interested in purchasing, a product. This includes both sites where people compete against one another for an item(s) by bidding up the price and where the price decreases as the number of people purchasing the product increases.
  • Price – Price refers to the amount paid for the Product exclusive of shipping, handling, tax, and other like charges.
  • Printed Advertisements – Advertisements appearing in a newspaper, magazine, store circular, or catalog which state the store name, item (including make and model number), and sale price. The advertisement must have been published within 90 days after the date You purchased the Product, be from the same Store where the Product was originally purchased, and be for the same Product (same make, same model number, same model year).
  • Store – The same retail store or chain of same-named retail stores where originally purchased.

What is NOT Covered:

The Buyers Advantage New Purchase Price Protection program does not apply to:

  • Consumables and perishables or services (including but not limited to the performance or rendering of labor or maintenance, repair, or installation of products, goods or property, or professional advice of any kind);
  • Watercraft; motorized vehicles (including but not limited to snowmobiles, airplanes, automobiles, and motorcycles) or their motors, equipment, and accessories (including but not limited to communication devices intended solely for use in the vehicle);
  • Land or buildings (including but not limited to homes and dwellings), permanently installed items, fixtures, or structures;
  • Traveler's checks, tickets of any kind, negotiable instruments, bullion, rare or precious coins, cash or its equivalent; stamps;
  • Jewelry;
  • Plants or animals;
  • Any Products purchased from an Internet Auction site;
  • Products purchased for commercial use, professional use, or resale;
  • Merchandise for which claims have not been initiated within 90 days of discovery of a Non-Auction Internet site or printed advertisement showing the lower price;
  • Used, antique, recycled, previously owned, rebuilt, or remanufactured items, whether or not you knew the items were used, antique, recycled, previously owned, rebuilt, or remanufactured;
  • Items for which the Non-Auction Internet or Printed Advertisement containing the lower price was published more than 90 days after the date you purchased the product;
  • Items advertised or shown as price quotes, bids, or final sale amounts from an Internet Auction site;
  • Items advertised in or as a result of "limited quantity," "going-out-of-business sales," "cash only," or "close out" advertisements, items shown on price lists or price quotes, cost savings as a result of manufacturer's coupons or free items, or where the advertised price includes a bonus or free offers, special financing, installation or rebate, or one-of-a-kind or other limited offers;
  • Customized, unique, and one-of-a-kind items;
  • Differences in price due to taxes, storage, shipping, handling, postage, transportation, and delivery;
  • Differences in price due to foreign exchange rates or fluctuation in foreign exchange rates;
  • Delay, loss of use, loss of market, interruption of business, or any other indirect or consequential loss or damage; or
  • Layaway items; items returned to any Store.

How to file a claim:

For a Printed Advertisement:

  • Call 1-800-553-4948 within 90 days of purchase for a New Purchase Price Protection claim form. Within 120 days of purchase, return the claim form to: New Purchase Price Protection, Buyers Advantage, P.O. Box 6175, Westerville, OH 43086-6175. You will be asked to provide the following information:
  • Your original itemized and dated Product receipt;
  • A copy of the Printed Advertisement or signed letter from the store (on store letterhead including the phone number of the person who prepared the letter) which shows the date of the advertisement, Store name and location, the currently in-stock Product (including make, model number, and year), and price;
  • Any other documentation we may request.
  • Once the required documentation is submitted and your claim is verified, you will receive a check for the price difference. Once we have all necessary information, it generally takes about thirty (30) days to process your claim and issue a check.

For a Non-Auction Internet Advertisement:

  • Call 1-800-553-4948 WITHIN 90 DAYS OF THE NON-AUCTION INTERNET purchase for a New Purchase Price Protection claim form. You will be asked to provide the Internet address where the advertisement appeared. Within 120 days of purchase, return the claim form to: New Purchase Price Protection, Buyers Advantage, P.O. Box 6175, Westerville, OH 43086-6175. You will be asked to provide the following information:
  • Your original itemized and dated Product receipt;
  • A copy of the Non-Auction Internet Advertisement which shows the date the advertisement was posted, merchant name, Web site address, customer service telephone number, the Product (including model number), and sale price;
  • Any other documentation we may request.
  • Once the required documentation is submitted and your claim is verified, you will receive a check for the price difference. Once we have all necessary information, it generally takes about thirty (30) days to process your claim and issue a check.

General Provisions

  • This program description is not a policy or contract of insurance.

Warranty Extension

Terms and Conditions:

1) "You or Your" means the Buyers Advantage Member listed in the membership kit accompanying this Agreement. "We, Us, and Our" means ServicePlan, Inc. in Alabama, Arizona, California, Connecticut, Illinois, Kentucky, Nevada, New York, Oklahoma, Oregon, Texas, Utah, Virginia, Vermont, Washington, Wisconsin, and Wyoming. "We, Us, and Our" means Trilegiant Corporation in all other states. This Agreement is not available in Alaska, Florida, North Dakota, Puerto Rico, and Maine.

2) Subject to the terms and conditions contained herein, We will extend the original manufacturer's U.S. warranty to five years (60 months) on many purchases you make with cash, check, debit or credit card, herein referred to as the "Product." The Product must have a purchase price under $5,000 and the purchase and claim must be made while You are a member of Buyers Advantage to be eligible for coverage.

3) This Agreement provides the same coverage as given by the original manufacturer's U.S. warranty. Coverage begins from the date you purchased the product and terminates five years from the purchase date.

4) Coverage is subject to a limit of $5,000 per occurrence. We will reimburse You the cost to repair the Product. In the event repairs cannot be made or the service center's repair cost estimate exceeds the original purchase price of the Product (net of taxes, storage, shipping, handling, and postage charges), We will, at our discretion, either replace the Product with an item of like kind and quality, or refund the purchase price, whichever is less. In no event will We pay more than the purchase price of the Product. Payment is net of any applicable taxes, storage, shipping, handling, and postage charges.

5) Your Buyers Advantage membership must be active at the time of Product purchase and when We receive all claim documentation for a claim to be eligible for reimbursement.

6) Coverage under the Warranty Extension program is excess over any other valid and collectible insurance or indemnity benefit.

What is Not Covered:

CONSUMABLES AND PERISHABLES OR SERVICES (INCLUDING BUT NOT LIMITED TO THE PERFORMANCE OR RENDERING OF LABOR OR MAINTENANCE, REPAIR OR INSTALLATION OF PRODUCTS, GOODS OR PROPERTY, OR PROFESSIONAL ADVICE OF ANY KIND); WATERCRAFT; MOTORIZED VEHICLES (INCLUDING BUT NOT LIMITED TO AIRPLANES, AUTOMOBILES, AND MOTORCYCLES) OR THEIR MOTORS, EQUIPMENT, AND ACCESSORIES (INCLUDING BUT NOT LIMITED TO COMMUNICATION DEVICES INTENDED SOLELY FOR USE IN THE VEHICLE); LAND OR BUILDINGS (INCLUDING BUT NOT LIMITED TO HOMES AND DWELLINGS), PERMANENTLY INSTALLED ITEMS, FIXTURES, OR STRUCTURES; TRAVELER'S CHECKS, TICKETS OF ANY KIND, NEGOTIABLE INSTRUMENTS, BULLION, RARE OR PRECIOUS COINS, CASH OR ITS EQUIVALENT; STAMPS; JEWELRY; PLANTS OR ANIMALS; ITEMS WITH A PURCHASE PRICE OF $5,000 OR MORE; ITEMS WHICH CARRY A "SATISFACTION GUARANTEED" PROMISE THAT PROVIDES PRODUCT REPLACEMENT OR BENEFITS FOR ANYTHING OTHER THAN DEFECTS IN MATERIALS AND WORKMANSHIP OF THE ITEM; SHIPPING CHARGES, TAXES, STORAGE FEES, POSTAGE, TRANSPORTATION AND DELIVERY CHARGES, OR PROMISED TIME FRAMES OF DELIVERY WHETHER OR NOT STATED AS COVERED IN THE MANUFACTURER'S WARRANTY; PHYSICAL DAMAGE TO THE PRODUCT INCLUDING DAMAGE AS A DIRECT RESULT OF ACTS OF GOD OR POWER SURGES; MECHANICAL FAILURE RESULTING IN PRODUCT RECALLS; USED, REBUILT, REMANUFACTURED, ANTIQUE, RECYCLED, OR PREVIOUSLY OWNED ITEMS; UNIQUE OR ONE-OF-A-KIND ITEMS; PRODUCTS PURCHASED BY SOMEONE OTHER THAN YOU; PRODUCTS THAT DO NOT COME WITH AN ORIGINAL MANUFACTURER'S U.S. WARRANTY; PRODUCTS PURCHASED OUTSIDE THE UNITED STATES; PRODUCTS DELIVERED FROM OUTSIDE THE UNITED STATES; OR NORMAL WEAR AND TEAR.

What To Do When a Product Requires Service:

1) Before having any repairs made, call 1-800-553-4948 within 30 days of Product malfunction for a claim form. We may not pay claims for which you have not received prior approval.

2) Within 30 days of having the necessary repair made or having the estimate showing the repair cost would exceed the Product purchase price, send a copy of the Product's original manufacturer's U.S. warranty, itemized sales invoice, "marked paid" repair receipt or repair estimate showing the repair cost would exceed the original Product purchase price, and completed claim form to: Warranty Extension Protection, Buyers Advantage, P.O. Box 6175, Westerville, OH 43086-6175.

3) Once all the necessary information is received it generally takes about 30 days to process Your claim.

General Terms

1) Transferability:
You may not assign, or otherwise transfer, this Agreement or Your rights under it, or delegate Your obligations.

2) Cancellation:
You may cancel this Agreement for any reason at any time. To cancel, You must call 1-800-553-4948. If you cancel during Your trial period, you will not be billed the Agreement purchase price. If you cancel after Your trial period, You will receive a pro rata refund of the membership fee based on the time expired. ARIZONA ONLY: No claim incurred or paid will be deducted from the amount to be returned. GEORGIA ONLY: We cannot cancel this Agreement except for fraud, material misrepresentation, or non-payment by You; or if required to do so by a regulatory authority. Notice of such cancellation will be in writing and given at least 30 days prior to cancellation. If We cancel, the return premium is based upon 100% of the unearned pro rata premium. ILLINOIS ONLY: If You cancel within 30 days from the beginning of Your coverage, You will receive a full refund of the Agreement purchase price, less the amount of any services provided. There is no cancellation fee. OKLAHOMA: In the event You cancel this Agreement after the trial period, You will receive 100% of the unearned pro rata premium, based on the time expired. If We cancel, the return premium is based upon 100% of the unearned pro rata premium. ALABAMA, CALIFORNIA, NEVADA, NEW YORK, TEXAS, WASHINGTON, AND WYOMING ONLY: A ten percent (10%) penalty per month shall be applied to refunds not paid or credited within thirty (30) days of Our receipt of Your notice of cancellation. The purchase of this Agreement is not required to obtain financing for the Product.

3) Entire Agreement:
Other than the general membership terms and conditions for this service (which were provided to you in your membership kit), and which don't affect or limit these terms and conditions, this is the entire service Agreement between the parties, and no representation, promise, or condition not contained herein shall modify these items. In Alabama, Arizona, California, Connecticut, Illinois, Kentucky, Nevada, New York, Oklahoma, Oregon, Texas, Utah, Virginia, Vermont,Washington, Wisconsin, and Wyoming: ServicePlan, Inc., 1000 Milwaukee Avenue, Glenview, IL 60025, (800) 209-6206, is the obligor under this Agreement. In all other states: Trilegiant Corporation, 6 High Ridge Park, Stamford, CT 06905 is the obligor under this Agreement. This agreement is not available in Alaska, Florida, North Dakota, Puerto Rico, and Maine. CONNECTICUT, DELAWARE, GEORGIA, ILLINOIS, KENTUCKY, MARYLAND, MISSOURI, NEW YORK, NORTH CAROLINA, TEXAS, UTAH, WASHINGTON, WISCONSIN, AND WYOMING ONLY: Obligations of the provider under this service contract are insured under a service contract reimbursement insurance policy by: Virginia Surety Company, Inc., 1000 Milwaukee Avenue, Glenview, IL 60025, (800) 209-6206. If a claim is not paid by the administrator within ninety (90) days of submitting the claim, the claim can be submitted to Virginia Surety Company, Inc. at the above address. IN WASHINGTON: You are not required to wait ninety (90) days before submitting a claim directly to the insurer. WISCONSIN ONLY: THIS AGREEMENT IS SUBJECT TO LIMITED REGULATION BY THE OFFICE OF THE COMMISSIONER OF INSURANCE. CONNECTICUT ONLY: The State of Connecticut has established an arbitration process to settle disputes arising from extended warranty contracts. A written complaint may be mailed to: State of Connecticut, Insurance Department, P. O. Box 816, Hartford, CT 06142-0286, Attn: Consumer Affairs. The written complaint must contain a description of the dispute, the purchase price of the product, and a copy of this Agreement. CALIFORNIA ONLY: Informal dispute resolution is not available. UTAH ONLY: Coverage afforded under this Agreement is not guaranteed by the Property and Casualty Guaranty Association. TEXAS ONLY: Unresolved complaints and questions concerning the regulation of service contracts may be addressed to the Texas Department of Licensing and Regulation at P.O. Box 12157, Austin, TX 78711. OKLAHOMA DISCLOSURE: This service contract is not issued by the manufacturer or wholesale company marketing the product. This service contract will not be honored by such manufacturer or wholesale company.

Return Guarantee

Coverage Description:

  • The Buyers Advantage Return Guarantee provides you with a money-back guarantee on many purchases you make with cash, check, debit or credit card (herein referred to as the "Covered Purchase") for up to ninety (90) days from the date of purchase. If you become dissatisfied with a Covered Purchase, Buyers Advantage will accept return of the item and reimburse the purchase price up to $500 per Covered Purchase and $1,000 per Member per twelve-month period. Payment does not include any applicable taxes, storage, shipping, handling, and postage charges.
  • A Covered Purchase may be returned to Buyers Advantage for any reason, but it must be returned undamaged and in good working condition, and in its original and complete packaging. You are responsible for all mailing costs.

Important Definitions:

  • Auction – An Internet site where items are sold through price bids, price quotes, or where prices fluctuate based on the number of people purchasing, or interested in purchasing, a product. This includes both sites where people compete against one another for an item(s) by bidding up the price and where the price decreases as the number of people purchasing the product increases.
  • Member, You, or Your – means the Buyers Advantage member listed in the membership kit accompanying this document.
  • Merchant – A store or Internet site whose primary purpose is the sale of merchandise.

Limit of Liability

  • Return Guarantee coverage is subject to a limit of $500 per Covered Purchase and $1,000 per Member per twelve-month period. In no event will Buyers Advantage pay more than the purchase price of the Covered Purchase. Payment is net of any applicable taxes, storage, shipping, handling, postage, transportation, and delivery charges.

What is NOT Covered:

  • Damaged or non-working items;
  • Consumables and perishables or services (including but not limited to the performance or rendering of labor or maintenance, repair or installation of products, goods or property, or professional advice of any kind);
  • Watercraft; motorized vehicles (including but not limited to snowmobiles, airplanes, automobiles, and motorcycles) or their motors, equipment, and accessories (including but not limited to communication devices intended solely for use in the vehicle);
  • Land or buildings (including but not limited to homes and dwellings), permanently installed items, fixtures, or structures;
  • Traveler's checks, tickets of any kind, negotiable instruments, bullion, rare or precious coins, cash or its equivalent; stamps;
  • Jewelry;
  • Weapons;
  • Forgeries or counterfeit items, whether or not you knew they were forgeries or counterfeit at the time of purchase;
  • Personal care products (including, but not limited to, cosmetics, hygiene products, cologne, perfume, etc.);
  • Plants or animals;
  • Stuffed or mounted animals and trophies; objects preserved through any method;
  • Products purchased at Internet Auction sites;
  • Used, antique, recycled, previously owned, rebuilt, or remanufactured items, whether or not you knew the items were used, antique, recycled, previously owned, rebuilt, or remanufactured;
  • Collectibles, special order, customized/personalized, unique, and one-of-a-kind items;
  • Items purchased for resale, professional, or commercial use;
  • Computer software, DVDs, video cassettes, CDs, audio cassettes, printed materials, or any other informational and recreational media.

How to file a claim:

  • Call 1-800-553-4948 within ninety (90) days of purchase for a Return Guarantee claim form. Within one hundred and twenty (120) days of purchase, return the claim form to: Return Department, Buyers Advantage, 300 W. Schrock Rd., Westerville, OH 43081-2873. (Insuring the package is suggested.) You will be asked to provide the following information:
  • Your original itemized and dated Covered Purchase receipt;
  • A copy of the manufacturer's written warranty if applicable;
  • Any other documentation we may request.
  • You must send the Covered Purchase to Buyers Advantage before any claim will be paid. You are responsible for all mailing costs. The Covered Purchase becomes the property of Buyers Advantage and will not be returned to you.
  • Once we have all necessary information, it generally takes about thirty (30) days to process your claim and issue a check.
  • If payment is made under the Buyers Advantage Return Guarantee, Buyers Advantage is entitled to recover such amounts from other parties or persons. Any party or person to or for whom Buyers Advantage makes payment must transfer to Buyers Advantage his or her rights to recovery against any other party or person. You must do everything necessary to secure these rights and must do nothing that would jeopardize them, or these rights will be recovered from You.

Repair Cost Benefit

Terms and Conditions:

1) "You or Your" means the Buyers Advantage Member listed in the Membership Kit accompanying this Agreement. "We, Us, and Our" means ServicePlan, Inc. in Alabama, Arizona, California, Connecticut, Illinois, Kentucky, Nevada, New York, Oklahoma, Oregon, Texas, Utah, Virginia, Vermont, Washington, Wisconsin, and Wyoming. "We, Us, and Our" means Trilegiant Corporation in all other states. This Agreement is not available in Alaska, Florida, North Dakota, Puerto Rico, and Maine.

2) Subject to the terms and conditions contained herein, We will reimburse you 50% of the cost to repair Eligible Products in the event of Breakdown up to the replacement cost of the item or $125 per occurrence, whichever is less, as determined by Us. Breakdown is defined as failure of an Eligible Product to function according to manufacturer's specifications. The Eligible Product must fail during normal usage. The Breakdown and claim must occur while You are a member of Buyers Advantage to be eligible for coverage. In the event the Eligible Product cannot be repaired, coverage does not apply to a replacement purchase. Payment does not include any applicable taxes, insurance, storage, shipping, handling, and postage charges.

3) Eligible Products is defined as non-commercial-grade Electronic Equipment, Kitchen Appliances, Home Appliances, and Telephone Equipment owned by You.

4) Electronic Equipment is defined as CD players, digital cameras, fax machines, graphic equalizers, personal computer systems (coverage only applies to the cost to restore personal computer systems to their original working order and product specifications), portable radio/cassette players, stereo cassette player/recorders, stereo receivers, telecaption adapters, turntable/record players, TV stereo adapter/receiver/VCRs, video camera/recorders, videodisc players, MP3 players, and personal digital assistants. Kitchen Appliances is defined as built-in oven/double ovens, range and range hoods, dishwashers, disposals, food processors, refrigerator/freezer/ice makers, and microwaves. Home Appliances is defined as air cleaners, carpet cleaners, central vacuum cleaners, dehumidifiers, washer/dryers, evaporative coolers, humidifiers, room air conditioners, sewing machines, trash compactors, typewriters, vacuum cleaners, washer/dryer compacts, lawn mowers, and treadmills. Telephone Equipment is defined as cellular telephones, conventional phones, cordless phones, and telephone answering machines.

5) Coverage under the Repair Cost Benefit program is excess of any valid and collectible insurance or indemnity benefit. All repair costs must be paid for by You to be eligible for coverage.

What is Not Covered:

ITEMS THAT DO NOT FALL WITHIN THE DEFINITION OF ELIGIBLE PRODUCTS; REPLACEMENT NECESSITATED BY LOSS OR DAMAGE RESULTING FROM ANY CAUSE OTHER THAN NORMAL USE AND OPERATION OF THE ELIGIBLE PRODUCT FOR WHICH THE PRODUCT WAS DESIGNED PER THE MANUFACTURER'S GUIDELINES; DAMAGE TO OR FAILURE OF PRODUCT USED FOR COMMERCIAL PURPOSES; DAMAGE RESULTING FROM A COLLISION WITH ANY OBJECT, ACTS OF GOD (INCLUDING, BUT NOT LIMITED TO, HURRICANES, FLOODS, ETC.), EXPOSURE TO WEATHER CONDITIONS, BATTERY LEAKAGE, THEFT, MISUSE, ABUSE, IMPROPER USE OF ELECTRICAL SOURCE, INTERCONNECTION TO OTHER PRODUCTS NOT RECOMMENDED BY MANUFACTURER, OR ANY OTHER PERIL ORIGINATING FROM OUTSIDE THE PRODUCT; DAMAGE TO OR FAILURE OF STRUCTURAL OR CASE COMPONENTS; APPEARANCE ITEMS OR COSMETIC IMPERFECTION; ANTENNAS AND JACKS; PRE-EXISTING CONDITIONS AND/OR COSTS TO REPAIR ANY PRODUCT SOLD "AS-IS"; CONSUMABLES AND/OR PARTS REPLACED DURING REGULAR MAINTENANCE; PERISHABLES; ADD-ON ITEMS THAT WERE NOT PART OF THE MANUFACTURER'S PACKAGED PRODUCT; CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, GENERAL DAMAGES, LOSS OF PROFITS, OR ANY SUCH DAMAGES; CLEANINGS, ADJUSTMENTS, OR PREVENTATIVE MAINTENANCE AS MAY BE REQUIRED BY THE MANUFACTURER TO MAINTAIN NORMAL OPERATION OF THE COVERED PRODUCT(S); REPAIRS TO UPGRADE OR IMPROVE THE ELIGIBLE PRODUCT; SHIPPING CHARGES, TAXES, INSURANCE, STORAGE FEES, POSTAGE, TRANSPORTATION AND DELIVERY CHARGES; MECHANICAL FAILURE RESULTING IN PRODUCT RECALLS; USED, REBUILT, REMANUFACTURED, ANTIQUE, RECYCLED, OR PREVIOUSLY OWNED ITEMS; UNIQUE OR ONE-OF-A-KIND ITEMS; PRODUCTS OWNED BY SOMEONE OTHER THAN YOU; PRODUCTS YOU PURCHASE FOR USE BY SOMEONE OTHER THAN YOU; LOSS OF OR RESTORATION OF DATA AND INFORMATION; PRODUCTS PURCHASED OUTSIDE OR FROM OUTSIDE THE UNITED STATES; OR NORMAL WEAR AND TEAR.

What To Do When a Product Requires Service:

1) Before having any repairs made, call 1-800-553-4948 within sixty (60) days of Product malfunction for a claim form. We may not pay claims for which you have not received prior approval.

2) Within thirty (30) days of having the necessary repair made, send a "marked paid" repair receipt and completed claim form to: Repair Cost Protection, Buyers Advantage, P.O. Box 6175, Westerville, OH 43086-6175.

3) Once all the necessary information is received it generally takes about thirty (30) days to process Your claim.

General Terms

1) Transferability:
You may not assign, or otherwise transfer, this Agreement or Your rights under it, or delegate Your obligations.

2) Cancellation:
You may cancel this Agreement for any reason at any time. To cancel, You must call 1-800-553-4948. If you cancel during Your complimentary trial period, You will not be billed the Agreement purchase price. If You cancel after Your trial period, You will receive a pro rata refund of the membership fee based on the time expired. ARIZONA ONLY: No claim incurred or paid will be deducted from the amount to be returned. GEORGIA ONLY: We cannot cancel this Agreement except for fraud, material misrepresentation, or non-payment by You; or if required to do so by a regulatory authority. Notice of such cancellation will be in writing and given at least thirty (30) days prior to cancellation. If We cancel, the return premium is based upon 100% of the unearned pro rata premium. ILLINOIS ONLY: If You cancel within 30 days from the beginning of Your coverage, You will receive a full refund of the Agreement purchase price, less the amount of any services provided. There is no cancellation fee. OKLAHOMA: In the event You cancel this Agreement after the trial period, You will receive 100% of the unearned pro rata premium based on the time expired. If We cancel, the return premium is based upon 100% of the unearned pro rata premium. ALABAMA, CALIFORNIA, NEVADA, NEW YORK, TEXAS, WASHINGTON, AND WYOMING ONLY: A ten percent (10%) penalty per month shall be applied to refunds not paid or credited within thirty (30) days of Our receipt of Your notice of cancellation. The purchase of this Agreement is not required to obtain financing for the Product.

3) Entire Agreement:
Other than the general membership terms and conditions for this service (which were provided to you in your membership kit), and which don't affect or limit these terms and conditions, this is the entire service Agreement between the parties, and no representation, promise, or condition not contained herein shall modify these items. In Alabama, Arizona, California, Connecticut, Illinois, Kentucky, Nevada, New York, Oklahoma, Oregon, Texas, Utah, Virginia, Vermont,Washington, Wisconsin, and Wyoming: ServicePlan, Inc., 1000 Milwaukee Avenue, Glenview, IL 60025, (800) 209-6206, is the obligor under this Agreement. In all other states: Trilegiant Corporation, 6 High Ridge Park, Stamford, CT 06905 is the obligor under this Agreement. This agreement is not available in Alaska, Florida, North Dakota, Puerto Rico, and Maine. CONNECTICUT, DELAWARE, GEORGIA, ILLINOIS, KENTUCKY, MARYLAND, MISSOURI, NEW YORK, NORTH CAROLINA, TEXAS, UTAH, WASHINGTON, WISCONSIN, AND WYOMING ONLY: Obligations of the provider under this service contract are insured under a service contract reimbursement insurance policy by: Virginia Surety Company, Inc., 1000 Milwaukee Avenue, Glenview, IL 60025, (800) 209-6206. If a claim is not paid by the administrator within ninety (90) days of submitting the claim, the claim can be submitted to Virginia Surety Company, Inc. at the above address. IN WASHINGTON: You are not required to wait ninety (90) days before submitting a claim directly to the insurer. WISCONSIN ONLY: THIS AGREEMENT IS SUBJECT TO LIMITED REGULATION BY THE OFFICE OF THE COMMISSIONER OF INSURANCE. CONNECTICUT ONLY: The State of Connecticut has established an arbitration process to settle disputes arising from extended warranty contracts. A written complaint may be mailed to: State of Connecticut, Insurance Department, P. O. Box 816, Hartford, CT 06142-0286, Attn: Consumer Affairs. The written complaint must contain a description of the dispute, the purchase price of the product, and a copy of this Agreement. CALIFORNIA ONLY: Informal dispute resolution is not available. UTAH ONLY: Coverage afforded under this Agreement is not guaranteed by the Property and Casualty Guaranty Association. TEXAS ONLY: Unresolved complaints and questions concerning the regulation of service contracts may be addressed to the Texas Department of Licensing and Regulation at P.O. Box 12157, Austin, TX 78711. OKLAHOMA DISCLOSURE: This service contract is not issued by the manufacturer or wholesale company marketing the product. This service contract will not be honored by such manufacturer or wholesale company.
